Terms of Use

These terms govern access to and use of the OmniVessel Vessel Inspection Suite (VIS), a software-as-a-service platform for shipmanagement companies. Please read them carefully - by using the platform you agree to be bound by them.

01About these terms

These Terms of Use (the “Terms”) form a binding agreement between you and Omnivessel LLC (“Omnivessel”, “we”, “us” or “our”), a company registered in Georgia and the developer, owner and operator of the OmniVessel Vessel Inspection Suite (the “Platform” or “VIS”).

The Platform is a business-to-business service. It is provided to shipmanagement companies and their personnel for professional use, and is not directed to consumers or to the general public. Where your organisation has entered into a separate written subscription or master services agreement with us, that agreement prevails over these Terms to the extent of any conflict.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

02The service

The Platform is a cloud-hosted vessel-inspection suite that lets shipmanagement companies plan, conduct, review and report on vessel inspections. Depending on your role and subscription, features may include vessel and fleet management, inspection checklists and engines, scheduling, evidence attachments, key performance indicators, reporting, support ticketing, audit logging and an optional AI assistant.

We may add, change, or remove features over time to improve the service. We will not make changes that materially reduce the core functionality of an active paid subscription without reasonable notice.

03Accounts & access

Access to the Platform is by invitation only; there is no public self-registration. Accounts are provisioned within a role-based hierarchy:

  • Administrator - operated by Omnivessel; onboards customer organisations.
  • Office- the shipmanagement company’s account, which manages its fleet, staff and inspection programme.
  • Crew - per-vessel accounts used to carry out inspections.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. To protect accounts, the Platform enforces measures such as two-factor authentication, single active session per account, strong-password requirements and inactivity handling. You must notify us promptly at info@omnivessel.io if you suspect any unauthorised access or security incident.

You must provide accurate account information and keep it current. You may not share accounts, sell access, or let anyone use your credentials.

04Acceptable use

You agree not to, and not to permit anyone to:

  • use the Platform in violation of any applicable law, regulation or maritime or flag-state requirement;
  • upload unlawful, infringing, or malicious content, or content you have no right to submit;
  • probe, scan, or test the vulnerability of the Platform, or breach or circumvent any security or authentication measure;
  • interfere with or disrupt the integrity or performance of the Platform, or attempt to gain unauthorised access to it or its related systems;
  • reverse engineer, decompile, or attempt to derive the source code of the Platform, except to the extent this restriction is prohibited by law;
  • use automated means to scrape or extract data beyond the functionality we provide, or resell or sublicense the Platform.

You are responsible for ensuring that inspection records and other entries you submit are accurate. The Platform is a tool to support your inspection programme; it does not replace your legal, regulatory or professional obligations.

05Customer data & content

“Customer Data” means the data, records, attachments and other content that you or your users submit to the Platform. As between you and us, you retain all rights in your Customer Data.

You grant us a limited, non-exclusive licence to host, process and transmit Customer Data solely to provide and support the Platform, to secure it, and as otherwise permitted in these Terms and our Privacy Policy. Where the Platform is configured to use the optional AI assistant, relevant data is processed to generate assistant responses subject to the opt-in and safeguards described in the Privacy Policy.

You are responsible for having the necessary rights and lawful basis for the Customer Data you submit, including any personal data relating to your personnel or crew.

06Subscriptions & fees

Access to the Platform is generally provided under a subscription. Fees, billing cycle, seat or vessel limits and any trial terms are as agreed in your order or subscription arrangement with us. Unless otherwise stated, fees are exclusive of taxes, which you are responsible for.

Unless your order says otherwise, subscriptions renew for successive terms until cancelled in accordance with your order. Fees already paid are non-refundable except where required by law or expressly stated in your order.

07Availability & support

We aim to keep the Platform available and performant, but we do not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable for maintenance, updates, or reasons beyond our reasonable control. Where a maintenance window is planned, we aim to give reasonable notice.

Support is provided through the in-app support channel and by email at info@omnivessel.io. Any service levels are those set out in your order or subscription agreement.

08Intellectual property

The Platform, including its software, design, wordmark, branding, text, and all related intellectual property, is owned by and copyrighted to Omnivessel LLC and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your internal business purposes during your subscription.

No rights are granted except as expressly set out in these Terms. All other rights are reserved. “OmniVessel” and the OmniVessel wordmark are marks of Omnivessel LLC and may not be used without our prior written permission.

If you provide feedback or suggestions about the Platform, we may use them without restriction or obligation to you.

09Third-party services

The Platform relies on trusted third-party service providers (for example, cloud hosting, database and authentication, email delivery, mapping, vessel-data lookup and, where enabled, an AI provider). Your use of the Platform may be subject to those providers’ terms. The current categories of subprocessors are described in our Privacy Policy. We are not responsible for third-party services we do not control.

10Confidentiality

Each party may access confidential information of the other in connection with the Platform. Each party agrees to protect the other’s confidential information with reasonable care and to use it only as needed to perform under these Terms. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.

11Warranties & disclaimers

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will meet your requirements, that inspection outcomes or AI-assistant outputs will be accurate or complete, or that the Platform will be uninterrupted, timely, secure, or error-free. You remain solely responsible for decisions made using the Platform.

12Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Platform, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or related to the Platform will not exceed the amounts paid by you to us for the Platform in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

13Indemnification

You agree to indemnify and hold harmless Omnivessel LLC and its personnel from and against any claims, damages, and reasonable expenses arising out of your Customer Data, your use of the Platform in breach of these Terms, or your violation of applicable law or the rights of a third party.

14Term & termination

These Terms apply for as long as you use the Platform. We may suspend or terminate access if you materially breach these Terms, if required for security or legal reasons, or on expiry or termination of your subscription.

On termination, your right to access the Platform ceases. Following termination we will make Customer Data available for export for a limited period and then delete or anonymise it in accordance with our Privacy Policy and applicable law, except where retention is required by law. Provisions that by their nature should survive termination will do so.

15Changes to the terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide notice through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

16Governing law

These Terms and any dispute arising out of or in connection with them are governed by the laws of Georgia, where Omnivessel LLC is registered, without regard to conflict-of-laws principles, and the competent courts of Georgia have exclusive jurisdiction, subject to any mandatory rights you may have under applicable law.
