Disclaimer

The OmniVessel Vessel Inspection Suite (VIS) is a professional tool that helps shipmanagement companies plan, record, review and report on vessel inspections. It is designed to support - not replace - the professional judgement, physical inspections and legal and regulatory obligations of the organisations and people who use it. This disclaimer explains the basis on which we make the platform available and how responsibility for decisions is shared.

01About this disclaimer

This disclaimer (the “Disclaimer”) applies to your access to and use of the OmniVessel Vessel Inspection Suite (the “Platform” or “VIS”), a software-as-a-service platform developed, owned and operated by Omnivessel LLC (“Omnivessel”, “we”, “us” or “our”), a company registered in Georgia.

It forms part of, and should be read together with, our Terms of Use and Privacy Policy. Where your organisation has a separate written subscription or master services agreement with us, that agreement prevails to the extent of any conflict. By accessing or using the Platform you acknowledge this Disclaimer. If you do not agree with it, please do not use the Platform.

The Platform is a business-to-business tool provided to shipmanagement companies and their personnel for professional use. It is not directed to consumers or to the general public.

02A professional support tool

The Platform is designed to help you plan, record, review and report on vessel inspections. It is provided for informational and organisational purposes, as a support to your own processes. It is not intended to replace, and should not be used in place of:

  • the professional judgement of qualified masters, officers, inspectors, surveyors, superintendents and shore staff;
  • physical inspection, survey, testing or verification of a vessel, its systems, equipment or condition;
  • the requirements of any classification society, flag State, port State control, coastal State, terminal, charterer or vetting regime (including, without limitation, SOLAS, MARPOL, the ISM Code, the MLC and SIRE 2.0); or
  • any applicable law, regulation, industry standard, or your own company’s safety-management system and procedures.

Any checklists, scoring, indicators, reports, predictions or guidance produced by the Platform are intended to support your own assessment. Responsibility for operational, safety, compliance, commercial and manning decisions remains with you and your organisation.

03Your responsibility for decisions

You are best placed to judge whether the information and outputs available through the Platform are suitable for your particular vessel, operation and circumstances. You are therefore responsible for reviewing their accuracy, completeness, timeliness and suitability, and for applying your own professional judgement, before relying on them.

To the fullest extent permitted by law, you accept that you use the Platform, and rely on any content, data or output obtained through it, on this basis, and that Omnivessel is not responsible for decisions that are made, delayed, or not made as a result. This does not affect any rights you may have that cannot be excluded under applicable law.

04Warranties

We work hard to keep the Platform reliable, accurate and available, and we provide it in good faith. At the same time, and to the fullest extent permitted by law, the Platform is provided on an “as is” and “as available” basis, and we do not give warranties, conditions or representations - whether express, implied or statutory - including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

In particular, we do not guarantee that:

  • the Platform will be uninterrupted, timely, secure, or free of errors, defects or other harmful components;
  • any information, record, calculation or output within the Platform is accurate, complete, current or reliable;
  • the Platform will meet your requirements or be compatible with your systems or working practices; or
  • data submitted to or stored in the Platform will not, in exceptional circumstances, be lost, corrupted, delayed or become temporarily or permanently unavailable.

We recommend that you keep your own independent records and backups of any information that is important to you, and that you check the accuracy of the data you enter. The Platform is not intended to be the system of record for your statutory or regulatory obligations.

05AI, predictions & automated outputs

The Platform may include optional artificial-intelligence and predictive features (for example, the AI assistant and the deficiency predictor), some of which are provided as Beta functionality. These features generate outputs by automated means and may occasionally be incomplete, inaccurate or out of date.

Such outputs are advisory and experimental, and are there to help rather than to decide. They do not constitute professional, technical, legal, safety or regulatory advice, and should be independently verified before you rely on them. To the fullest extent permitted by law, we do not warrant their accuracy or fitness for any purpose, and we do not accept liability for decisions taken in reliance on them without independent verification.

06Limitation of liability

To the fullest extent permitted by applicable law, Omnivessel LLC, together with its owners, directors, officers, employees, agents, licensors and service providers, will not be liable for any indirect, incidental, special, consequential, punitive or exemplary loss, or for any loss of profit, revenue, business, contracts, charters, savings, anticipated benefits, goodwill or reputation, or for detention, off-hire, fines, penalties or business interruption, arising out of or in connection with the Platform or your use of, or inability to use, it.

This applies regardless of the form of action and even if we have been advised of the possibility of such loss.

Importantly, nothing in this Disclaimer limits or excludes any liability that cannot be limited or excluded under applicable law - including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Where our liability cannot be excluded, it is limited to the fullest extent permitted by law and remains subject to the limitation-of-liability provisions of our Terms of Use.

07Third-party data & services

The Platform relies on, and may display information obtained from, third-party services and data sources (for example, cloud hosting, authentication, email delivery, mapping and vessel-position data, vessel-lookup data and, where enabled, an AI provider). Such information is provided by those third parties and is not independently verified or controlled by us.

We do not warrant the accuracy, completeness, availability or timeliness of third-party data or services, and, to the extent permitted by law, we are not responsible for them. Vessel positions, particulars and similar data are indicative only and must not be used for navigation, collision avoidance, or any safety-critical purpose. Any links to external websites or resources are provided for convenience only and do not imply endorsement; we are not responsible for their content.

08Intellectual property

The Platform, including its software, source code, design, structure, wordmark, branding, text and all related materials, is owned by and copyrighted to Omnivessel LLC and its licensors, and is protected by intellectual-property laws. All rights not expressly granted are reserved.

“OmniVessel”, the OmniVessel wordmark and related marks are marks of Omnivessel LLC. Nothing on the Platform grants any licence or right to use them without our prior written permission. You may not copy, reproduce, modify, distribute, republish, reverse engineer or create derivative works from the Platform except as expressly permitted by our Terms of Use or by applicable law.

09User content & copyrighted material

You are responsible for any data, records, documents, images, attachments and other content that you or your users submit to, upload to, or generate within the Platform (“User Content”). You represent and warrant that you hold all necessary rights, licences and permissions for such User Content and that it does not infringe the intellectual-property, privacy or other rights of any third party.

Please do not upload, store or transmit through the Platform any material that is unlawful, infringing, confidential to a third party without authority, or protected by copyright or other rights that you do not own or are not licensed to use. Omnivessel LLC does not monitor or endorse User Content, and, to the extent permitted by law, does not accept responsibility for it or for any infringement of third-party rights connected with it. You remain responsible for the consequences of submitting such material.

10Regulatory & compliance responsibility

You remain at all times the party responsible for compliance with all applicable maritime, safety, environmental, labour, data- protection and other laws and regulations, and with the requirements of relevant classification societies, flag and port States, vetting regimes and your own safety-management system.

The Platform does not certify, approve, or guarantee compliance, and no output of the Platform should be treated as evidence of, or a substitute for, compliance. Use of the Platform does not transfer any such responsibility to Omnivessel LLC.

11Changes to this disclaimer

We may update this Disclaimer from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide notice through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Disclaimer.

12Governing law

This Disclaimer and any dispute or claim arising out of or in connection with it are governed by the laws of Georgia, where Omnivessel LLC is registered, without regard to conflict-of-laws principles, and the competent courts of Georgia have exclusive jurisdiction, subject to any mandatory rights you may have under applicable law.
